Role:
BOLD is looking for an associate to join our India based Business and Corporate Affairs Team! The India team is part of Bold’s global Business and Corporate Affairs legal team which is responsible for the legal aspects of the Company’s global corporate and commercial matters. This team runs all commercial contracting activities, including the review and negotiation of vendor and contractor agreements, SaaS agreements, and all other agreements and related partnerships. In addition, the Business and Corporate Affairs Team oversees all corporate governance compliances globally and monitors implementation of the Company’s commercial activities. It also provides legal support to the operations team, including on areas of accounting, finance, payments, tax, technology, facilities, and HR.
The Business and Corporate Affairs Associate will be primarily in charge of supporting the team on the management of local Indian legal affairs, including supporting Board operations matters, drafting Board resolutions, certificates, minutes, and operating agreements, and necessary and applicable under local India law. The Associate will also support in the review and drafting of commercial contracts such as NDAs, contractor agreements, SaaS agreements, and other types of agreements that are inherent to a technology/subscription-based business. This person will also be giving support on legal compliance matters across multiple areas of the business, including in areas of consumer laws and privacy. The Business and Corporate Affairs Associate will report directly to our in-house legal Manager (India & International).
Responsibilities:
- Assisting in managing Corporate Secretarial Function such as coordinating board meetings, organizing & preparing agendas for board meetings, general meetings.
- Document database management and ensuring data integrity.
- Supporting Corporate Secretarial function internally.
- Support the team and senior management on corporate and compliance matters in certain areas of the business, including but not limited to local corporate governance matters, vendor agreements, privacy, data protection, consumer law, and general business operations.
- Support on contract drafting, review, and negotiation, including managing relationships with internal teams and review/redline vendor agreements, subscription agreements, draft NDAs, confidentiality agreements, non-compete, and other types of consulting and contractor agreements in areas of product, marketing, technology, hosting, SaaS, licensing, payments, customer service, real estate, and operations, among other areas.
- Provide daily assistance with internal/risk controls and legal/regulatory compliance matters.
- Structure, draft, and review reports, excel files, power points and other types of documents.
- Conduct legal research, both on local laws and international laws, and draft legal documents, policies, agreements, and memoranda.
- Support on other legal related tasks as needed.
Required Skills:
- 2 to 3 years of law firm practice or equivalent in-house experience (preference- corporate experience)
- High attention to detail and accuracy with the ability to multitask.
- Strong English communication skills both verbal and written.
- Full knowledge of legal principles and practices, and strong legal research and analytical techniques.
